Reference: Statement of Work dated March 2026, titled "Articulated Body Tracking – Video Assessment Platform" (the "SOW").

Background

A. The Developer was engaged to design and build certain technology pursuant to the SOW.

B. The Company is making final payment to the Developer in connection with the SOW, and the parties wish to confirm in writing the ownership of the technology developed under it.

Confirmation and Assignment

Confirmation of Ownership. The Developer confirms that all technology, software, source code, documentation, designs, and related deliverables developed pursuant to the SOW (collectively, the "Work Product") are the exclusive property of the Company.
Assignment. The Developer hereby irrevocably assigns and transfers to the Company all right, title, and interest in and to the Work Product, including all associated intellectual property rights, consistent with the terms of the SOW.
Entire Understanding. This document confirms the parties' understanding regarding ownership of the Work Product and is to be read together with the SOW.
