AGREEMENT OF RELEASE, WAIVER, AND CONSENT

The undersigned ("Client")* seeks to become a Client of G8way Max LLC, a Wyoming limited liability company ("G8WAY"). As a condition to, and in consideration of, entering into a client-relationship with G8WAY, the Client voluntarily, fully, and irrevocably:

Releases G8WAY and all current and future officers, directors, managers, members, employees, agents, representatives, and direct or indirect owners of G8WAY (collectively, "Released Persons"), from any and all claims, injuries, damages, and other liabilities of any kind (whether now existing or hereafter arising; whether in tort or contract; whether at law or in equity; and whether actual, incidental, consequential, punitive, or exemplary) in whole or part resulting from, relating to, or occurring in connection with, any act, omission, advertisement, statement, service, product, or agreement by or involving any one or more Released Persons (collectively "Released Claims"), including without limitation any Released Claims relating to Client's training with G8WAY and any other Released Persons.
Waives forever and always all Released Claims; covenants and agrees not to sue any Released Persons in respect of any Released Claims; and indemnifies all Released Persons for any breach by Client of this Agreement of Release, Waiver, and Consent.
Consents to the use (without royalty, fee, stipend, or other payment in any amount or of any kind) of Client's names, likenesses, images, videos, photographs, testimonials, and quotations on the website of G8WAY or any other Released Persons or in connection with any advertisement, marketing materials, or other publication made or used by G8WAY or any other Released Persons.
Agrees that (a) G8WAY is and shall remain the sole and exclusive owner of all right, title, and interest in, to, or under any and all digital, written, oral, or other materials or information that are originated or owned by, or licensed to, or lawfully in the possession of, G8WAY, including ideas, concepts, documents, equipment, statistics, specifications, analyses, work, software, content, coding, engineering, intellectual property, proprietary information, know-how, trade secrets, designs, records, recordings, products, services, artificial intelligence, assessments, or other data, technologies, or materials (collectively “G8WAY Property”); and (b) without the prior written consent of G8WAY, the Client will not directly or indirectly (i) use any G8WAY Property for any purpose or application except for Client’s personal training with G8WAY or (ii) disclose or publish any G8WAY Property to any person or entity.
Acknowledges that Client has reviewed and understands G8WAY’s Terms and Conditions of Use and Privacy Policy (collectively “Terms and Policy”) linked to this Agreement of Release, Waiver, and Consent and agrees to abide by and comply with such Terms and Policy as from time to time amended and in effect.
Agrees that this Agreement of Release, Waiver, and Consent is governed by, and will be construed and enforced under, the laws of the State of Texas excluding any choice of law, conflict of law, or other rules or principles that may direct or require the application of laws of any jurisdiction other than Texas. In this Agreement, “or” means “and / or”.

Completed, signed, and dated by the undersigned Client.

*If the trainee is of legal age in the state of her or his residence, then such trainee must sign this Agreement and will be bound by, and responsible for, the release, waiver, and consent set forth in this Agreement. If, however, the trainee is less than 18 years of age on the date of this Agreement or less than legal age in the state of Client's residential address, then such trainee and her or his parent or guardian must sign this Agreement in the respective spaces provided below, it being understood and agreed that such parent or guardian (not the trainee) will be deemed the Client under this Agreement and will be bound by, and responsible (on behalf of the trainee and such parent or guardian) for, the release, waiver, and consent set forth in this Agreement.
